1.1 Eligibility

• Use automated systems to access Portal in a manner that sends more request messages to our servers than a human could reasonably produce in the same period;

• Interfere with the integrity or performance of Portal;

• Use Portal to store or transmit infringing, libelous, or otherwise unlawful or tortious material.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

All content, trademarks, logos, and software associated with Portal are the property of Portal or its licensors. You may not copy, reproduce, distribute, or create derivative works from any Portal content without prior written permission.

Your use of Portal is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using Portal, you consent to our data practices.

5.1 HIPAA and Data Use

Portal may process Protected Health Information (PHI) in compliance with the Health Insurance Portability and Accountability Act (HIPAA). We implement industry-standard safeguards to protect PHI but cannot guarantee absolute security.

5.2 Data Accuracy

While we strive to provide accurate and up-to-date information, Portal does not guarantee the accuracy, completeness, or reliability of any data or output generated by the platform.

Portal uses artificial intelligence to assist with clinical message triaging and administrative tasks. The AI:

• Does not replace professional medical advice or judgment;

• Does not autonomously make medical decisions or diagnose conditions;

• Operates under provider oversight for all clinical decisions.

Users acknowledge that AI-generated content may occasionally contain inaccuracies and must be reviewed by qualified personnel before clinical use.

Portal may contain links or integrations with third-party services. We do not control and are not responsible for the content, privacy policies, or practices of any third parties. Use of third-party services is at your own risk.

8.1 Disclaimer of Warranties

Portal is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Liability

To the maximum extent permitted by law, Portal and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of Portal.

You agree to indemnify and hold harmless Portal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of Portal or violation of these Terms.

We may update these Terms from time to time. If we make material changes, we will notify you by posting the new Terms on our website and updating the effective date. Your continued use of Portal after such changes constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in New Castle, Delaware.
